Business Terms of Service

1. Business eligibility and authority

SMSify is offered only to registered legal entities acquiring the service for business activity. Sole proprietors, consumers, and anyone acting for personal, family, or household purposes are not eligible under these Terms.

The person accepting an Order Form represents that they are authorized to bind the named entity. The customer must provide its exact legal name, incorporation jurisdiction, registered address, business or tax identifier, receiving establishment, service address, and an authorized representative.

2. Verification and activation

SMSify may verify the customer, its representative, ownership or control information, sanctions status, service address, messaging use case, and tax registrations. A payment method may be saved during review, but the recurring platform charge does not begin until the customer and service are approved and activated.

• No dedicated number, SMS, MMS, call forwarding, or auto-reload while review is pending.
• A rejected, abandoned, or timed-out application is closed without a recurring charge.
• Approval for one country, state, province, number type, or use case does not approve another.

3. Service and plan

The plan is USD 29 per month and includes one licensed local number, one user, and 500 monthly communication units. Separately disclosed additional users, usage packs, carrier or registration recovery amounts, government charges, and taxes may apply. The Order Form must show every unavoidable fixed charge and the complete usage rate table before payment.

The subscription is month-to-month. Separate, affirmative consent is required for recurring billing and for any optional auto-reload instruction. SMSify must provide a durable confirmation and receipt and must obtain fresh assent before a price increase takes effect.

4. Customer responsibilities

• Use the service only for lawful business communications and comply with the Messaging Acceptable Use Policy.
• Maintain accurate account, service-address, tax, consent, suppression, and authorized-user records.
• Protect credentials and promptly report suspected compromise or unauthorized traffic.
• Do not resell, sublicense, transfer, or use the service for emergency communications unless an approved Order Form expressly permits it.

5. Fees, taxes, and records

Prices are in USD and exclude applicable US and Canadian sales, use, GST/HST, PST/QST, communications taxes, government assessments, and clearly identified carrier or A2P recovery fees. A claimed exemption applies only after SMSify accepts valid evidence and may be corrected if that evidence is inaccurate or expires.

For a verified US or Canadian business establishment receiving the service outside the EU, the Romanian invoice is intended to use the outside-scope VAT legend shown on this page. The invoice must not describe that treatment as Romanian “0% VAT,” a Romanian VAT exemption, or an EU reverse charge.

6. Suspension, cancellation, and paid value

SMSify may suspend traffic immediately for fraud, sanctions, unlawful content, security risk, carrier direction, nonpayment, or regulatory necessity. Ordinary customer cancellation stops future renewal and auto-reload immediately while paid platform access continues through the current billing period.

Unused purchased service value is handled under the Cancellation and Refund Policy and is not automatically forfeited. Promotional credits may have a clearly disclosed expiry and no cash value.

8. Contract framework

These Terms, the accepted Order Form, and the policies incorporated above form the agreement for the service. Mandatory law continues to apply. Any negotiated amendment must be in writing and accepted by authorized representatives of both parties.

9. Provider identity, support, and notices

The service is provided by CLP SOFTWARE STUDIO S.R.L., a Romanian limited liability company with registered office at Sat Negrilești nr. 206, jud. Bistrița-Năsăud, 427068, Romania, tax identification code (CUI) 38691736, Trade Registry number J2018000027060, operating the service under the SMSify name.

Customer support, billing questions, cancellation assistance, and legal notices to SMSify may be sent to support@smsify.app. SMSify sends contractual notices to the administrator email on the account or the contact stated on the approved Order Form.

Fail-closed launch gate

If identity, authority, tax location, telecom classification, carrier registration, messaging use case, privacy configuration, or jurisdiction support cannot be established, SMSify does not activate the affected feature and does not silently substitute a different legal or tax treatment.
